Terms of Service

1. Acceptance and Scope

Welcome to Biqli! These Terms of Service ("Agreement") constitute a legally binding agreement between you ("you" or "Customer") and Biqli LLC ("Biqli," "we," "us," or "our"), a Wyoming limited liability company. This Agreement governs your access to and use of the Biqli websites, services, and application programming interfaces (APIs) (collectively, the "Services").

By creating a Biqli account, purchasing a paid plan, or accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Acceptable Use Policy, which is incorporated by reference. Any violation of the Acceptable Use Policy constitutes a material breach of this Agreement and may result in immediate termination of your access to the Services. If you do not agree to these terms, you may not access or use the Services.

1.1. Modifications to this Agreement

We reserve the right to modify this Agreement at any time. If we make material changes, we will post the updated Agreement on our site, update the "Last Updated" date, and notify you through the Services or via email at least 30 days before the changes take effect. By continuing to use the Services after changes become effective, you agree to be bound by the revised Agreement. It is your responsibility to review this Agreement periodically.

1.2. Age Requirement

The Services are not intended for and may not be used by individuals under the age of 18. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

2. Definitions

• Account: The Biqli account you create to access the Services.
• Customer Content: All URLs, data, and other information provided by you to Biqli in connection with the Services.
• Biqli Materials: All of Biqli's proprietary technology, including the Services, software, documentation, intellectual property, and know-how.
• Fees: The charges applicable to paid tiers of the Biqli Services.
• Force Majeure Event: An event beyond a party's reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, or major internet/telecommunications failures.

3. Accounts and Responsibilities

3.1. Paid Accounts & Fees

Biqli offers both free and fee-based Services. If you sign up for a paid Account, you agree to pay all applicable Fees for the selected service tier.

• Subscription & Renewal: Paid plans are billed on a recurring basis (e.g., monthly or annually). Your subscription will automatically renew for the same term unless you cancel it through your account settings before the renewal date. We will notify you of any price changes at least 30 days before they take effect.
• Payment: You authorize us to charge your selected payment method for all applicable Fees. You are responsible for keeping your billing and contact information current. We may suspend access to paid features if Fees are past due, with a 7-day grace period for failed payments.
• Refunds: Monthly subscriptions are non-refundable. Annual subscriptions may be cancelled and receive a pro-rated refund for unused months, minus a $25 processing fee, if cancelled within the first 90 days of the subscription period. Refunds are processed within 10 business days of approval.
• Taxes: All Fees are exclusive of taxes. You are responsible for paying all applicable taxes, duties, and other governmental charges.

3.2. Access and Security

You are responsible for all activity that occurs under your Account. You will immediately notify us of any unauthorized use of your Account or any other breach of security.

4. Service Level Agreement

For Enterprise customers, our commitment to service availability, performance, and remedies for service disruptions are detailed in our Service Level Agreement (SLA), which is incorporated by reference into this Agreement.

5. Your Content and Conduct

5.1. Customer Content License

You retain ownership of your Customer Content. You grant Biqli a limited, non-exclusive, royalty-free, worldwide license to use, copy, and display your Customer Content solely to the extent necessary to provide, operate, and improve the Services. This license terminates when you delete the specific content or close your Account.

5.2. API Usage Terms

If you access the Services via our API, you must adhere to the following terms:

• You will comply with our API documentation and usage limits for your plan.
• You will not share your API key and will keep it secure.
• We reserve the right to throttle or suspend your API access if we detect abusive or malicious behavior.
• You may not use the API to create a service that is substantially similar to or competes with Biqli.

6. Intellectual Property & DMCA

6.1. Biqli's Ownership

Except for your Customer Content, Biqli is the sole owner of all right, title, and interest in and to the Biqli Materials. We reserve all rights not expressly granted to you.

6.2. DMCA & Copyright Policy

Biqli respects the intellectual property rights of others and expects our users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe your copyrighted work has been infringed, please provide our Copyright Agent with a written notice containing the required information as outlined by the DMCA. 7. Term and Termination

This Agreement begins when you accept it and remains in effect until terminated.

7.1. Effect of Termination

Upon termination, your right to use the Services ceases. To allow for a smooth transition, your shortened links will continue to redirect for 30 days after termination, after which they may be deactivated. Your account data will then be permanently deleted or anonymized within 90 days, in accordance with our data retention policy.

8. Data Retention

We retain your data only as long as necessary. Account data is generally deleted within 90 days of termination. Aggregate, anonymized analytics data may be retained indefinitely. Data may persist in secure backups for up to 12 months before being purged. For full details, please see our Privacy Policy.

9. Force Majeure

Neither party will be liable for any failure or delay in performance due to a Force Majeure Event. The affected party will notify the other and use reasonable efforts to minimize the impact. If a Force Majeure Event continues for more than 60 days, either party may terminate this Agreement.

10. Disclaimers and Limitation of Liability

10.1. "AS IS" Service

THE BIQLI SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. EXCEPT FOR YOUR INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO BIQLI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Mutual Indemnification

You will indemnify Biqli from claims arising from your Customer Content or your breach of this Agreement. Biqli will indemnify you from claims that our Services infringe a third party's intellectual property rights.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Wyoming, USA. The parties agree to first attempt to resolve any dispute through informal negotiation for at least 30 days.

12.1. Binding Arbitration

If informal resolution fails, any dispute will be resolved by binding arbitration in Cheyenne, Wyoming, administered by the American Arbitration Association. The following disputes are excluded from arbitration: (a) intellectual property disputes; (b) requests for injunctive relief; and (c) matters that can be brought in small claims court.

12.2. Class Action Waiver

YOU AND BIQLI AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Miscellaneous

This Agreement, along with the Privacy Policy, AUP, and SLA, constitutes the entire agreement between you and Biqli. You may not assign this Agreement without our consent. We may identify you as a customer in our marketing materials unless you opt out in writing.

13.1. Export Controls

You agree to comply with all applicable U.S. and international export control laws and sanctions regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory that is subject to U.S. government sanctions.
